Website Privacy Notice

1. Introduction and Scope

This Privacy Notice (the “Notice”) describes how Prexo, Inc., a Delaware corporation with its address at 5655 Silver Creek Valley Rd, San Jose, CA 95138 (“Prexo,” “we,” “us,” or “our”), collects, uses, discloses, and protects personal data when you visit or interact with our website located at prexo.ai and any other websites, landing pages, or online properties that link to this Notice (collectively, the “Site”), communicate with us, register for events, webinars, or demonstrations, receive our marketing communications, or interact with us as a representative of a current or prospective customer.

What this Notice does not cover. This Notice does not apply to files, documents, plans, drawings, specifications, estimates, bids, contracts, project data, or other content that a customer or its authorized users submit to the Prexo Preconstruction Intelligence Suite™ (the “Platform”) under a subscription agreement (“Customer Content”). Prexo processes Customer Content as a service provider or processor on behalf of, and under the instructions of, the subscribing customer, and such processing is governed exclusively by the Master Subscription Agreement and the Data Processing Agreement between Prexo and that customer. If you are an employee, contractor, or business partner of a Prexo customer and have questions about Customer Content, please direct them to that customer, which controls that data. In the event of any conflict between this Notice and a written agreement between Prexo and a customer with respect to Customer Content, the written agreement controls.

Relationship to the Terms of Use. Your use of the Site is governed by the Prexo Website Terms of Use, including their Delaware governing-law and dispute-resolution provisions, which apply to any dispute arising out of or relating to this Notice or our privacy practices to the fullest extent permitted by applicable law. This Notice is a statement of our practices and your rights; it is not a contract and does not create contractual rights.

Audience. The Site is a business-to-business property intended for use by construction industry professionals in the United States who are 18 years of age or older. The Site is not directed to children, and we do not knowingly collect personal data from anyone under 18. See Section 11.

2. Personal Data We Collect

We collect personal data from three sources: directly from you, automatically when you use the Site, and from third parties.

2.1 Information You Provide to Us

  • •Contact and professional information. Name, business email address, business phone number, company name, job title, company size, and similar information you provide when you request a demonstration, contact our sales team, subscribe to communications, register for a webinar or event, or otherwise correspond with us.
  • •Account registration information. If you register for an account in connection with a subscription to the Platform, we collect your name, business email address, role, and login credentials for account administration, authentication, billing coordination, and support purposes.
  • •Communications. The contents of messages you send us, including inquiries, support requests, survey responses, and feedback about the Site.
  • •Job applicant information. If you apply for a position with Prexo, we collect the information you submit in your application, such as your resume, work history, and contact details, and we use it for recruiting and hiring purposes.

We do not request, and ask that you do not submit through the Site, any sensitive personal data (such as government identifiers, precise geolocation, health information, or financial account numbers). Payment information for Platform subscriptions is collected under the applicable customer agreement and processed by third-party payment processors; we do not collect payment card details through the Site.

2.2 Information We Collect Automatically

When you visit the Site, we and our service providers automatically collect certain information about your device and how you interact with the Site (“Usage Data”), including: IP address; approximate geographic location derived from IP address (city or region level); browser type and version; operating system and device type; referring URLs; pages viewed, links clicked, and time spent on pages; and date and time stamps. We collect Usage Data through cookies and similar technologies described in Section 4.

2.3 Information We Receive from Third Parties

We may receive personal data about you from third parties, including: business data and contact-enrichment providers; event co-sponsors and webinar platforms; marketing and advertising partners; publicly available professional sources (such as company websites and professional networking platforms); and referrals from your colleagues. Where we combine third-party information with information we already hold, this Notice applies to the combined information.

3. How We Use Personal Data

We use personal data for the following business purposes:

  • •Operating the Site. To provide, maintain, secure, and improve the Site and diagnose technical issues.
  • •Responding to you. To respond to your inquiries, schedule and deliver product demonstrations, and provide requested information and support.
  • •Sales and marketing. To send you marketing and promotional communications about Prexo products, features, events, and industry content, subject to your right to opt out at any time; to measure the effectiveness of our marketing; and to develop and qualify sales leads.
  • •Account administration. To create and administer user accounts, authenticate users, coordinate onboarding and implementation, communicate service and security notices, and manage the customer relationship.
  • •Analytics and improvement. To understand how visitors use the Site, evaluate which content is useful, and improve the Site’s design, content, and performance.
  • •Security and fraud prevention. To protect the Site, our systems, our personnel, and our visitors; to detect, investigate, and prevent fraudulent, unauthorized, or unlawful activity; and to enforce our Website Terms of Use.
  • •Legal compliance. To comply with applicable law, regulation, legal process, and enforceable governmental requests, and to establish, exercise, or defend legal claims.
  • •Corporate transactions. To evaluate or complete a merger, acquisition, financing, reorganization, or sale of all or a portion of our business or assets, in which personal data may be among the assets reviewed or transferred subject to customary confidentiality protections.
  • •AI training on Site data. We may use data collected through the Site — including form submissions, communications, or Usage Data — to train artificial intelligence or machine learning models. AI training practices applicable to the Platform are governed by the written agreements between Prexo and its customers.

4. Cookies and Tracking Technologies

We and our service providers use cookies, pixels, tags, and similar technologies to operate the Site and collect Usage Data. These technologies fall into the following categories:

  • •Strictly necessary. Required for the Site to function, including security, load balancing, and remembering your preferences (such as cookie choices). These cannot be disabled through our tools.
  • •Analytics. Help us understand how visitors use the Site so we can improve it. We currently use Google Analytics 4, HubSpot, LinkedIn, Meta and may use additional tools to collect analytics.
  • •Advertising (if deployed). We use advertising and retargeting technologies like e.g., LinkedIn Insight Tag, Google Ads. If we deploy advertising technologies that involve sharing personal data for cross-context behavioral advertising, we will update this Notice and Section 5 accordingly and provide the opt-out mechanisms required by law.

Your choices. You can manage cookies through your browser settings, including blocking or deleting cookies, though some Site features may not function properly if you do. Where we deploy a cookie preference tool, you may also manage non-essential cookies through that tool.

Opt-out preference signals. We recognize and honor opt-out preference signals, including the Global Privacy Control (GPC), as a valid request to opt out of any “sale” or “sharing” of personal data (as those terms are defined under applicable state privacy laws) for the browser or device transmitting the signal. Because there is no industry standard for legacy “Do Not Track” browser signals, we treat GPC as the operative opt-out preference signal.

5. How We Disclose Personal Data

We disclose personal data in the following circumstances:

  • •Service providers. We engage third parties to perform services on our behalf, such as cloud hosting and infrastructure, website analytics, customer relationship management, email delivery and marketing automation, event and webinar hosting, customer support, and professional services coordination. Service providers are permitted to process personal data only to perform services for us and are contractually restricted from using it for their own purposes.
  • •Implementation and services partners. Where you or your organization engage implementation services in connection with the Platform, we may share business contact information with our authorized services partner(s) to coordinate those services.
  • •Professional advisors. Lawyers, accountants, auditors, insurers, and other advisors, in connection with the professional services they provide to us.
  • •Legal and safety. To comply with law, regulation, legal process, or enforceable governmental request; to enforce our agreements and policies; or to protect the rights, property, safety, or security of Prexo, our customers, our visitors, or the public.
  • •Corporate transactions. In connection with a merger, acquisition, financing, due diligence, reorganization, bankruptcy, or sale of assets, subject to customary confidentiality protections. If a transaction results in a change to this Notice’s practices, we will provide notice as described in Section 13.
  • •With your direction or consent. Where you direct us to disclose information or otherwise consent to a disclosure.

No sale or sharing. We do not sell personal data for monetary or other valuable consideration, and we do not share personal data with third parties for cross-context behavioral advertising, as those terms are defined under the California Consumer Privacy Act, as amended, and comparable state privacy laws. Because we do not sell or share personal data, no “Do Not Sell or Share My Personal Information” link is required; if our practices change, we will update this Notice and provide the required link and opt-out mechanisms before doing so.

6. Text Message (SMS) Communications

If you opt in to receive text messages from Prexo (for example, scheduling reminders for demonstrations), the following applies: message frequency varies; message and data rates may apply; you may opt out at any time by replying STOP and obtain assistance by replying HELP. Consent to receive text messages is not a condition of any purchase. Mobile phone numbers and text-message originator opt-in data and consent will not be shared with or disclosed to third parties or affiliates for marketing or promotional purposes under any circumstances.

7. Data Retention

We retain personal data only as long as reasonably necessary for the purposes described in this Notice, to comply with our legal, tax, and accounting obligations, to resolve disputes, and to enforce our agreements. The criteria we use to determine retention periods include: the nature and sensitivity of the data; the purpose for which it was collected; whether an active relationship or inquiry exists; legal and regulatory retention requirements; and the applicable statutes of limitation. Illustrative retention practices:

8. Your Privacy Rights

8.1 Rights Under U.S. State Privacy Laws

Depending on your state of residence (including, among others, California, Colorado, Connecticut, Delaware, Montana, New Jersey, Oregon, Texas, Utah, and Virginia), you may have some or all of the following rights with respect to your personal data, subject to legal limitations and exceptions:

  • •Right to know / access. To confirm whether we process your personal data and to access it, including in a portable and readily usable format.
  • •Right to correct. To correct inaccuracies in your personal data.
  • •Right to delete. To request deletion of your personal data.
  • •Right to opt out. To opt out of the sale of personal data, the sharing or processing of personal data for targeted or cross-context behavioral advertising, and certain profiling. As stated in Section 5, we do not currently sell or share personal data or engage in such profiling.
  • •Right to limit sensitive data use. We do not collect sensitive personal data through the Site for purposes that would trigger a right to limit.
  • •Right to non-discrimination. We will not discriminate against you for exercising your rights.
  • •Right to appeal. In states that provide it (including Delaware), if we decline to act on your request, you may appeal our decision as described in Section 8.3.

8.2 How to Exercise Your Rights

You may exercise your rights by emailing us at [email protected]or writing to us at the address in Section 14, with the subject line “Privacy Rights Request.” We will verify your identity using the information associated with your request (for example, by confirming control of the email address on file) and may request additional information where reasonably necessary. We will respond within the time required by applicable law (generally 45 days, subject to extension where permitted). Where allowed, you may designate an authorized agent to submit requests on your behalf; we may require proof of the agent’s authority and verification of your identity.

8.3 Appeals

If we decline to act on your request, we will explain our reasons and, where required by your state’s law, you may appeal by replying to our response or emailing [email protected]with the subject line “Privacy Appeal” within a reasonable time after our decision. We will respond to appeals within the period required by applicable law. If your appeal is denied, you may contact your state Attorney General; Delaware residents may contact the Delaware Department of Justice.

8.4 California Disclosures (Notice at Collection)

This Section, together with Sections 2, 3, 5, and 7, constitutes our notice at collection for California residents under the California Consumer Privacy Act, as amended by the California Privacy Rights Act (“CCPA”). In the preceding 12 months, we have collected the following categories of personal information, for the purposes described in Section 3, retained per the criteria in Section 7, and disclosed for business purposes to the categories of recipients described in Section 5:

We do not sell or share personal information as defined by the CCPA and have not done so in the preceding 12 months, and we do not knowingly sell or share the personal information of consumers under 16 years of age. California residents may exercise the rights described in Section 8.1 as set forth in Section 8.2. California’s “Shine the Light” law (Civil Code § 1798.83) permits California residents to request certain information regarding disclosure of personal information to third parties for their direct marketing purposes; we do not disclose personal information to third parties for their direct marketing purposes.

8.5 Delaware Residents

Prexo is a Delaware corporation, and this Notice is administered consistently with Delaware law, including the Delaware Personal Data Privacy Act (“DPDPA”) to the extent applicable. Delaware residents may exercise the rights of access, correction, deletion, portability, and opt-out described in Section 8.1, and the right of appeal described in Section 8.3. Nothing in this Section limits the rights available to residents of other states under their own laws.

9. International Visitors and Data Location

The Site is operated from the United States and is directed to visitors located in the United States. Personal data collected through the Site is stored and processed in the United States, where privacy laws may differ from those of your jurisdiction. If you access the Site from outside the United States, you acknowledge that your personal data will be transferred to and processed in the United States. If applicable law in your jurisdiction grants you privacy rights not described in this Notice, you may contact us as set forth in Section 14 and we will address your request as required by applicable law.

10. Security

We maintain commercially reasonable administrative, technical, and physical safeguards designed to protect personal data against unauthorized access, disclosure, alteration, and destruction, including encryption of data in transit, access controls, and vendor due diligence. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. If you have reason to believe your interaction with us is no longer secure, please notify us immediately at [email protected].

11. Children’s Privacy

The Site is intended for business users who are 18 years of age or older. We do not knowingly collect personal data from anyone under 18. If you believe a person under 18 has provided personal data to us, please contact us at [email protected] and we will delete it as required by applicable law.

12. Third-Party Websites and Services

The Site may contain links to third-party websites, tools, and services that we do not operate, including social media platforms and scheduling tools. This Notice does not apply to those third parties, and we are not responsible for their privacy practices. We encourage you to review the privacy notice of every third-party site or service you visit.

13. Changes to This Notice

We may update this Notice from time to time to reflect changes in our practices, technologies, or legal requirements. When we do, we will post the updated Notice on the Site and revise the “Last Updated” date above. If we make material changes that expand how we use or disclose previously collected personal data, we will provide reasonable advance notice, such as by prominent posting on the Site or, where appropriate, by email, and will obtain consent where required by applicable law.
